NUBIGON Terms and Conditions

1. Agreement to these terms
These Terms and Conditions ("Terms") are an agreement between you and NUBIGON Inc. ("NUBIGON", "we", "us"), 917 Saint Marks Ave, Apt 4, Brooklyn, NY 11213, USA. They govern your use of nubigon.com and its subdomains (the "Website") and your purchase of NUBIGON products and services.
By using the Website or placing an order, you agree to these Terms. If you act for a company or other organization, you confirm you are authorized to bind it, and "you" includes that organization. If you do not agree, do not use the Website or buy our products.
How these Terms fit with our other documents:
• The End-User License Agreement (EULA) governs your installation and use of NUBIGON Pro and other software (the "Software"). If these Terms and the EULA conflict on use of the Software, the EULA controls.
• Our Privacy Policy explains how we handle personal information.
• FastSpring's terms of sale apply to purchases made through FastSpring (see section 3).
• A signed agreement, quote, or custom license between you and NUBIGON controls over these Terms where they conflict.
2. Using the Website
Eligibility. You must be at least 18 and able to form a binding contract. Our products are intended for business and professional use.
Accounts. Some features, such as the FastSpring account page and the support portal, need an account. Keep your login details and license keys confidential. You are responsible for activity on your account and must promptly notify us of any unauthorized use.
Acceptable use. You agree not to:
• break any law, or infringe anyone's intellectual property or privacy rights;
• upload malware, or try to gain unauthorized access to the Website, our systems, or other users' data;
• scrape, crawl, or harvest content or data from the Website by automated means, except as allowed by standard search-engine indexing;
• interfere with or overload the Website;
• share, sell, or publish license keys, or try to bypass license checks or trial limits;
• post content in the support forums or elsewhere that is unlawful, abusive, misleading, or spam;
• impersonate any person or misrepresent your affiliation.
We may suspend or end your access to the Website, the support portal, or any account if you break these Terms.
3. Purchases, trials, and subscriptions
Who sells to you. Online orders are fulfilled by our authorized reseller, FastSpring, which acts as merchant of record. FastSpring processes your payment, collects applicable taxes, and issues your receipt, and its terms of sale apply to the transaction. Orders through a NUBIGON channel partner are governed by that partner's terms. Your right to use the Software always comes from NUBIGON under the EULA.
Free trial. We may offer a free trial, currently two weeks. Some features may be limited during the trial. Trials are for evaluation only, one per person or organization, and we may end or change trial offers at any time.
Prices and taxes. Prices are shown in US dollars and exclude VAT, sales tax, and similar taxes, which are added at checkout where they apply. We may change prices at any time. A price change for an existing subscription takes effect at your next renewal, and we will tell you in advance.
Discounts. Academic and volume discounts are offered as described on our pricing page. Academic licenses may be used only for teaching and non-commercial research, and we may ask for proof of eligibility.
Automatic renewal. Subscriptions (monthly, 3-month, and annual) renew automatically for the same period at the then-current price, using your payment method on file. The next renewal date and amount appear at checkout and in your order email.
Cancellation. You can cancel at any time in your FastSpring account. Cancellation stops future renewals. You keep access until the end of the billing period you have already paid for.
Refunds. All fees are non-refundable, including for partial periods and unused licenses, except where we end a license early without cause (see the EULA) or where the law requires a refund. Nothing in these Terms limits mandatory consumer rights that apply to you.
Perpetual licenses. A perpetual license lets you use the version you bought indefinitely, subject to the EULA. Updates and support for perpetual licenses are provided as described on our pricing page at the time of purchase.
Export controls. You may not buy or use our products if you are in a country subject to a US embargo, or are on a US government restricted-party list, or if you intend to use them prohibited by US export laws.
4. Intellectual property and content
Our content. The Website, Software, documentation, tutorials, images, videos, logos, and the NUBIGON name are owned by NUBIGON or its licensors and protected by copyright, trademark, and other laws. You may view and print Website pages for your own use. You may not copy, modify, distribute, or create derivative works from them without our written permission. Use of our logos is allowed only as set out in our press kit.
Your output. As between you and NUBIGON, you own the renders, animations, orthophotos, and other output you create with the Software from your own data, subject to the EULA and any third-party rights in your input data.
Submissions. If you send us renders, videos, project details, testimonials, or forum posts ("Submissions"), you confirm that you have the rights to do so, including any needed consent from clients and people shown. You grant NUBIGON a worldwide, non-exclusive, royalty-free license to use, reproduce, edit for format, display, and publish your Submissions on our Website, gallery, social media, and marketing materials, with the credit you provide. You can ask us to stop future use at any time; this does not require us to remove materials already printed or distributed.
Feedback. If you send us ideas or suggestions about our products, we may use them freely without any obligation to you.
Copyright complaints. If you believe content on the Website infringes your copyright, email info@nubigon.com with the details required by the US Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)).
Third-party links and services. The Website links to third-party sites and services, such as FastSpring, YouTube, and social networks. We do not control them and are not responsible for their content or practices. Their own terms apply.
5. Disclaimers, liability, and indemnity
Disclaimer. THE WEBSITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, NUBIGON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not promise that the Website will be uninterrupted, error-free, or free of harmful components. Measurements, tutorials, and other information are for general guidance and should be checked before you rely on them for engineering, surveying, legal, or safety decisions. Warranties for the Software are set out only in the EULA.
Limitation of liability. TO THE FULLEST EXTENT ALLOWED BY LAW:
• NUBIGON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THEIR POSSIBILITY;
• NUBIGON'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE WEBSITE, THESE TERMS, OR ANY PURCHASE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) US $100.
These limits do not apply to liability that cannot be limited by law, such as for fraud, gross negligence, or willful misconduct.
Indemnity. You will defend and indemnify NUBIGON and its officers, employees, and agents against third-party claims, losses, and reasonable legal costs arising from your breach of these Terms, your Submissions, or your misuse of the Website or Software.
6. Governing law, disputes, and general terms
Governing law. These Terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Disputes. Before filing a claim, each party will try to resolve the dispute informally by written notice and good-faith discussion for 30 days. If it is not resolved, the state and federal courts located in New York County, New York, have exclusive jurisdiction, and both parties consent to their jurisdiction. Either party may seek urgent injunctive relief in any competent court. If you are a consumer, you keep any right under your local law to bring proceedings in your home courts.
Changes to these Terms. We may update these Terms. We will post the new version here with a new "Last updated" date, and give customers at least 30 days' notice of material changes by email or on the Website. Changes do not apply to a paid billing period already in progress. Continuing to use the Website after changes take effect means you accept them.
Other terms.
• Entire agreement. These Terms, the EULA, the Privacy Policy, and any order or signed agreement are the whole agreement about their subject.
• Severability. If a court finds any provision unenforceable, the rest stays in effect.
• No waiver. Not enforcing a right is not a waiver of it.
• Assignment. You may not transfer these Terms without our written consent. We may assign them to an affiliate or a successor in a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices. We may send notices to the email address in your order or account. You may send notices to the address below.
